Terms of Service

Welcome to Spryly™. These Terms of Service ("Terms") govern your access to and use of spryly.io and related services (collectively, the "Service"), provided by LateralTranslucence ("we," "us," or "our"). By creating an account or using the Service, you agree to these Terms.

1. The Service

Spryly™ is a dashboard that helps developers track versions of software packages and libraries across multiple registries (including npm, PyPI, Packagist, Go, RubyGems, Cargo, NuGet, and WordPress), associate tracked packages with projects, and optionally scan connected GitHub and GitLab repositories to detect dependencies. Spryly™ also lets you track the operational status of third-party platforms (such as Cloudflare, AWS, GitHub, Slack, and Stripe) and can email you when a tracked platform reports an issue.

2. Accounts

You must provide a valid email address to create an account and are responsible for maintaining the confidentiality of your password and for all activity that occurs under your account. You agree to notify us promptly of any unauthorized use of your account.

You must be at least 16 years old to use the Service.

3. Free and Paid Plans

Payments are processed by Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.

Cancellation and Downgrade

You may cancel your Pro subscription at any time through the billing portal accessible from your profile. Upon cancellation, your subscription remains active until the end of the current billing period, after which your account reverts to the free tier. If your connected accounts exceed the free tier limit at that point, all but your earliest-connected account will be removed.

Refunds

Subscription fees are non-refundable except where required by applicable law. If you believe you were charged in error, contact us at hi@spryly.io.

Price Changes

We reserve the right to change pricing with at least 30 days' advance notice to existing subscribers, delivered via the Service or by email.

4. GitHub and GitLab Integration

If you choose to connect a GitHub or GitLab account, you authorize Spryly™ to access repository contents via that platform's API for the purpose of identifying dependency files and their contents. You can revoke this access at any time by disconnecting the account within Spryly™ or by revoking Spryly™'s access directly through your GitHub or GitLab account settings.

You are responsible for ensuring you have the right to grant Spryly™ access to any repositories you connect, including private or organization-owned repositories.

6. Accuracy of Version, Status, and Alert Information

Spryly™ retrieves package version information from third-party public registries (such as npm and PyPI) and, where connected, from GitHub and GitLab repositories. Spryly™ also retrieves platform status information from each tracked platform's public status page and may send you an email alert when a status change is detected. This information is provided "as is" and may be delayed, incomplete, or inaccurate, and alert emails may be delayed or not delivered at all, due to factors outside our control, including registry or status page outages, rate limiting, email delivery issues, or changes to third-party APIs.

Spryly™ is an informational tool and should not be relied upon as your sole method of tracking security-critical updates or service outages. You are responsible for independently verifying version, vulnerability, and platform status information for systems used in production, especially where security or availability is a concern.

7. Intellectual Property

The Service, including its design, branding, logo, and underlying code, is owned by LateralTranslucence and protected by applicable intellectual property laws. You retain ownership of any data you input into Spryly™ (such as project names and package lists).

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT VERSION/UPDATE INFORMATION WILL BE ACCURATE OR TIMELY.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LATERALTRANSLUCENCE AND ITS OPERATORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, REVENUE, OR PROFITS, ARISING FROM YOUR USE OF (OR INABILITY TO USE) THE SERVICE, INCLUDING ANY RELIANCE ON VERSION OR UPDATE INFORMATION PROVIDED BY THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US (IF ANY) IN THE TWELVE MONTHS PRECEDING THE CLAIM.

10. Termination

You may stop using the Service and delete your account at any time through your profile settings. We may suspend or terminate your access to the Service if you violate these Terms, or for any reason with reasonable notice, including discontinuation of the Service entirely. Upon termination, your right to use the Service ceases, though provisions of these Terms that by their nature should survive (such as Sections 6, 8, and 9) will continue to apply.

11. Changes to the Service or Terms

We may modify or discontinue the Service, in whole or in part, at any time. We may also update these Terms from time to time. Material changes will be communicated via the Service or by email, and continued use after such changes constitutes acceptance of the revised Terms.

12. Governing Law

These Terms are governed by the laws of the jurisdiction in which LateralTranslucence is established, without regard to conflict-of-law principles.
